The invention relates to a skin-moistening and skin-care composition containing modified chitosan and a preparation method thereof, wherein the skin-moistening and skin-care composition comprises the following components in parts by mass: 3-15 parts of peptide, 0.15-0.75 part of zinc element, 0.2-0.6 part of propolis powder, 0.05-0.3 part of tremella extract, 0.3-0.5 part of modified chitosan and 0.1-0.3 part of mannitol; the modified chitosan is obtained by grafting reaction of chitosan and isonicotinic acid. The isonicotinic acid grafted chitosan has good water solubility, can improve the viscosity of a composition solution, prolongs the release time of active ingredients, can generate good synergistic effect with mannitol and other ingredients, ensures that the active ingredients are uniformly distributed in the solution, enhances the stability of a product, and promotes the full absorption of the active ingredients, thereby realizing good effects of moisturizing, beautifying and protecting the skin.
