本发明提供一种利用实名银行账户和哈希(Hash)校验值订立电子合同的方法,其特征在于完成以下步骤:A.合同当事人经磋商就合同内容达成一致;B.一方当事人就合同内容制作成电子合同;C.制作电子合同的当事人将该电子合同发送给其他当事人;D.当事人利用计算机程序获得该电子合同的哈希校验值;E.合同各方当事人通过其实名银行账户向其他当事人的实名银行账户转账支付约定的金额,并在附言中注明该哈希校验值。本发明的有益效果是不借助第三方提供的专门技术或服务平台,解决了合同当事人身份确定,确保合同不可篡改等难题,不仅可用于订立合同,也可用于合同的履行阶段。

Description

利用实名账户及哈希(Hash)校验签订电子合同的方法
技术领域
本发明涉及电子商务领域,尤其涉及电子合同订立的方法以及合同履行过程中产生的文件的签发或签收。
背景技术
近十几年来,我国电子商务不断发展壮大,但大多数的非在线交易合同、尤其是涉及大额交易的合同,除部分采用电子签名或区块链技术签订的之外,仍然采用当事人签字盖章的传统方式签订。在当前阶段,这些合同签订方式皆存在较大的局限性。采用电子签名方式签订合同,需要以合同各方当事人皆已获得第三方认证机构颁发的电子签名为前提;但现实中大量当事人、尤其是自然人和中小微企业,并未获得第三方认证机构颁发的电子签名。采用区块链技术签订合同,需要第三方提供区块链技术和相应服务平台,且操作复杂,普通民众的理解能力和接受程度比较低。采用传统的签字盖章方式签订合同,需要双方在同一纸质文本签字盖章,签约的时间成本、人力成本、财务成本比较高,且经常面临伪造公章、假冒签字、篡改文本、原件遗失或毁损等问题。经济社会的快速发展亟需一种简易、快捷、可靠的电子合同签订方式,以解决当事人身份确认、合同文本不可篡改、当事人发送承诺或要约等问题。
发明内容
为了解决现有技术中的问题,本发明以实名银行账户、电子文档的哈希(Hash,下同)校验为基础,提供了一种电子合同订立的方法。
本发明提供了一种电子合同订立的方法,其特征在于完成以下步骤:
A.合同当事人经磋商就合同内容达成一致;
B.一方当事人就合同内容制作成电子合同;
C.制作电子合同的当事人将该电子合同发送给其他当事人;
D.当事人利用电子计算机程序获得该电子合同的哈希校验值;
E.合同各方当事人通过其实名银行账户向其他当事人的实名银行账户转账支付约定的金额,并在附言中注明该哈希校验值。
作为本发明的进一步改进,在所述步骤A中包括:
A1.当事人在合同中约定,一方通过其实名银行账户向另一方的实名银行账户转账支付约定的金额、并在附言中注明该电子合同的哈希校验值时,该方即认可其已签署该电子合同并向另一方承诺接受该电子合同的约束。
作为本发明的进一步改进,在所述步骤B中包括:
B1.电子合同的文档格式不限,但为保证跨平台使用的便利,建议采用PDF文档格式。
作为本发明的进一步改进,在所述步骤E中包括:
E1.当事人通过实名银行账户转账并在附言中注明的哈希校验值是采用相同的算法(如MD5)获得的。
本发明的有益效果是:当事人借助哈希校验值确保电子合同不可篡改;借助实名银行账户确认其他当事人的身份;借助合同内容的约定、及实名银行账户间转账附言中注明的哈希校验值,确认转账的转出方向转入方发送了书面的要约、承诺或通知;当事人无需依赖第三方提供的专门技术或平台即可签订电子合同并平等持有证据,进而降低交易成本,推动经济发展。

具体实施方式
如图1所示,本发明公开了一种电子合同订立的方法,完成如下步骤:步骤S1,合同当事人经磋商就合同内容达成一致;步骤S2,一方当事人就合同内容制作成电子合同;步骤S3,制作电子合同的当事人将该电子合同发送给其他当事人;步骤S4,当事人利用计算机程序获得该电子合同的哈希校验值; 步骤S5,各方当事人通过其实名银行账户向其他当事人的实名银行账户转账支付约定的金额,并在附言中注明该哈希校验值。
本发明中的当事人既可以是甲、乙双方,也可以是甲、乙、丙等多方。图1及下列陈述以甲方为买方、乙方为卖方为例。
在所述步骤S1中,甲、乙双方当事人经磋商就某一买卖合同达成一致。
在所述步骤S2中,甲方根据协商一致的内容制作PDF文档格式的电子合同。
在所述步骤S3中,甲方将该PDF文档格式的电子合同发送给乙方(如用电子邮件)。
在所述步骤S4中,甲方、乙方采用相同的算法(如MD5)分别获得该电子合同的哈希校验值。
在所述步骤S5中,甲方通过其实名银行账户向乙方的实名银行账户转让支付约定的金额,并在附言中注明其经步骤S4获得的哈希校验值;乙方也通过其实名银行账户向甲方的实名银行账户转让支付约定的金额,并在附言中注明其经步骤S4获得的哈希校验值。但是,在其他情形下,比如在无对价关系的赠与合同中,受赠与方也可以不对赠与方实施步骤S5。
以上内容是结合具体的优选实施方式对本发明所作的进一步详细说明,不能认定本发明的具体实施只限于这些说明。在不脱离本发明构思的前提下,本发明所属技术领域的普通技术人员作出若干简单推演、替换或省略,如指定代理人、指定非当事人本人的银行账户、适用于单方承诺、适用于履行过程中产生的电子文档等,都应当视为属于本发明的保护范围。

Claims (4)

1.一种电子合同订立的方法,其特征在于完成以下步骤:
A.合同当事人经磋商就合同内容达成一致;
B.一方当事人就合同内容制作成电子合同;
C.制作电子合同的当事人将该电子合同发送给其他当事人;
D.当事人利用计算机程序获得该电子合同的哈希校验值;
E.合同各方当事人通过其实名银行账户向其他当事人的实名银行账户转账支付约定的金额,并在附言中注明该哈希校验值。
2.根据权利要求1所述的电子合同订立的方法,其特征在于,在所述步骤A中包括:
A1.当事人在合同中约定,一方通过其实名银行账户向另一方的实名银行账户转账支付约定的金额、并在附言中注明该电子合同的哈希校验值时,该方即认可其已签署该电子合同并向另一方承诺接受该电子合同的约束。
3.根据权利要求1所述的电子合同签订的方法,其特征在于,在所述步骤B中包括:
