A magnetic shielding cold-rolled steel sheet stably exhibiting a high magnetic permeability even if it contains impurity elements derived from scrap has a composition comprising, by mass %, C: 0.002-0.01%, Si: at most 0.5%, Mn: at most 2.0%, P: at most 0.4%, S: 0.001-0.1%, Al: 0.001-2%, N: at most 0.1%, Ti: at most 0.01%, V: at most 0.01%, Nb: at most 0.01%, Cu: at most 0.4%, Sn: at most 0.2%, Ni: at most 0.1%, Cr: at most 0.1%, Mo: at most 0.1%, and B: at most 0.001%, the inclusions satisfying (1) MnO/(Al2O3+SiO2+MnO+CaO) ≤ 0.5, (2) Al2O3/(Al2O3+SiO2+MnO+CaO) ≤ 0.1, and (3) the total amount of inclusions in the steel ≤ 0.01 mass %. In a steel sheet having a cold rolled structure, the average oblateness of grains is in the range of 0.15-0.5, and in a steel sheet having an annealed structure, the average grain diameter is in the range of 15-40 μm.
