A steel strip heat-treating system with waste heat utilizing apparatus is disclosed, which includes an uncoiling wheel (3), a coiling wheel (2), and a steel strip (1) disposed between the uncoiling wheel (3) and the coiling wheel (2). A heating furnace (6) and a tempering furnace (11) are disposed in sequence corresponding to the steel strip (1) between the uncoiling wheel (3) and the coiling wheel (2). The heating furnace (6) and tempering furnace (11) are arranged in parallel in upright direction. The rear end of the heating furnace (6) is provided with first quenching device (7), and the front end of the tempering furnace (11) is provided with second quenching device (10). A guiding tank (9) is disposed between first quenching device (7) and second quenching device (10). A waste heat utilizing apparatus (4) is mounted between front end of the heating furnace (6) and the rear end of the tempering furnace (11).
