Description
TECHNIKOS SRITISTECHNICAL FIELD
This invention relates to financial systems and commercial structures related to the movement of cash flows from a creditor to a debtor; particularly with systems in which not only legal persons but also natural persons act as a creditor.
TECHNIKOS LYGISTECHNICAL LEVEL
The movement of goods and cash flows has been around for a very long time. However, the global financial crisis of recent years has raised people's awareness of financial systems and their links with banking structures and other potential money market players.
Žinomas prancūzų patentas Nr. FR2827979, publikuotas 2003 m. sausio 31 d. Šiame patente aprašyta internetiniame tinkle esanti sistema, susidedanti iš kreditorių tinklo, debitorių tinklo, aptarnaujančio serverio, duomenų bazės ir sutarčių, leidžiančių atlikinėti skolinimo bei pasiskolinimo operacijas tarp kreditorių ir debitorių. Tačiau šios sistemos dalyviai gali būti tik juridiniai asmenys, nes pagal šiuo metu galiojančias rinkos reguliavimo taisykles (pagal įstatymą) juridiniai asmenys negali tiesiogiai skolintis pinigų iš fizinių asmenų.Known French patent no. FR2827979, Published 2003. January 31, This patent describes a web-based system consisting of a network of creditors, a network of debtors, a serving server, a database, and contracts that allow you to carry out lending and borrowing transactions between creditors and debtors. However, only legal persons can participate in this system, since under current market regulation rules (by law) legal persons cannot borrow money directly from natural persons.
Also known is Korean patent no. KR20040099975, Published 2004 December 2 This patent describes an online system consisting of a creditor network, a debtor network, a serving server, a database, and a bank. This system collects the best offers from a network of creditors and submits them to the bank. Accordingly, the bank may submit the best offers to the debtor network. However, in this system, the serving server and the analyzing system are owned by the banking institution and therefore represent the bank's interests more. On the one hand, banks are thus attracting potential external financial resources from legal and natural persons on the best terms and, on the other hand, trying to sell those loans on the best terms to the debtor network. This makes the system more convenient for banks, but not for the debtor network.
Dar žinomas amerikiečių patentas Nr. US2009210340, publikuotas 2009 m. rugpjūčio 20 d. Šiame patente yra aprašyta sistema, susidedanti iš kreditorių bei debitorių tinklo, kurią aptarnauja internetiniame tinkle esanti interaktyvi terpė. Šio patento pagrindas yra ištobulinta daugiafunkcinė interaktyvi terpė, kuria patogu naudotis visiems šios sistemos dalyviams: registruotis į tinklą, matyti vieni kitus ir bendrauti, formuoti užklausas, pasirašyti kontraktus ir panašiai. Tačiau bendra dalyvių schema iš esmės lieka tokia pati: debitorių ir kreditorių tinklas, kurį sudaro juridiniai asmenys.Also known is U.S. Pat. US2009210340, published June 2009 August 20 This patent describes a system consisting of a network of creditors and debtors served by an interactive medium on an online network. At the heart of this patent is a sophisticated, multifunctional interactive medium that is convenient for everyone in the system: to register, see and interact with each other, make requests, sign contracts, and more. However, the overall scheme of the participants remains essentially the same: a network of debtors and creditors consisting of legal entities.
Žinomas amerikiečių patentas Nr. US2010070415, publikuotas 2010 m. kovo 18 d. US2010070415, published 2010. March 18 This patent describes a system consisting of computers, software, interactive media on the Internet, customers, service providers and a bank. The scheme described in the patent enables customers / creditors (natural or legal persons) to pay for the services not directly but by sending appropriate instructions to the bank via the bank using the interactive media mentioned above. The instructions mentioned above may be in the form of checks which are securely scanned and transmitted from the client to the bank via a computer network. Participants in this system may be legal or natural persons, but this system is more accountable.
Artimiausia pagal technikos lygį yra japonų paraiška Nr. W02010113283, publikuota 2010 m. spalio 7 d. The closest prior art is Japanese Application No. WO01010113283, Published 2010 October 7th This application describes a flexible creditor / debtor system that includes creditor / debtor networks and interactive media. There are many lenders in this system who are ready to lend a certain amount of money to debtors under certain conditions. The essence of this system is that creditor loans are issued to debtors on an auction basis, i.e. - the money is received by the debtor who offers the best terms to the creditor. However, this system is more representative of the interests of creditors, since debtors who need the money at best are only able to obtain it in reality at worst. Another aspect of the present invention is that only legal entities may participate in such auctions.
Be to, pagrindinį vaidmenį, valdymą bei sprendimą tokio pobūdžio sistemose dažniausiai atlieka bankai, kurie labiausiai ir atstovauja galutinių kreditorių (dažniausiai formaliai savus) interesus.As we can see, there are a number of well-developed creditor / debtor interactive media and systems in the world, but most of them represent the interests of creditors rather than debtors. On the other hand, only legal entities are involved in such schemes, which are, on a global scale, significantly smaller than the number of natural persons potentially participating in such schemes. Moreover, the key role, governance and decision-making in these types of systems is usually played by the banks, which represent the interests of the final creditors (usually formally).
IŠRADIMO ESMĖTHE SUBSTANCE OF THE INVENTION
Šiuo išradimu siekiama sukurti tokią finansinio aprūpinimo sistemą, apimančią kreditoriaus modulį, debitoriaus modulį, tarpininko administratoriaus modulį bei bankų modulį, kur, naudojant aptarnaujančių serverių sistemą, šie minėti moduliai atitinkamai sujungti tarpusavyje ir sudaro internetiniame tinkle esančią interaktyvią terpę, kuri užtikrintų:It is an object of the present invention to provide a financial provision system comprising a creditor module, a debtor module, an intermediary administrator module and a banking module, whereby, through a serving server system, said modules are interconnected to form an interactive medium on the Internet.
galimybę debitoriaus modulio vartotojams (juridiniams asmenims / įmonėms) skolintis pinigus iš kreditoriaus modulio, kurio vartotojai yra ne tik juridiniai, bet ir fiziniai asmenys;the possibility for the users of the debtor module (legal persons / companies) to borrow money from the creditor module whose users are not only legal persons but also natural persons;
galimybę debitoriaus modulio vartotojams skolintis geresnėmis sąlygomis (pvz. žemesnis paskolos procentas) negu jie gali skolintis per banką įprastiniu būdu.the ability of borrower module users to borrow at better terms (such as a lower loan percentage) than they can borrow through the bank in the usual way.
Šio išradimo esmė yra sistema, apimanti tokius šios sistemos vartotojus: kreditoriai (juridiniai bei fiziniai asmenys), debitoriai (juridiniai asmenys), bankai (juridiniai asmenys) bei tarpininkas-administratorius, kur minėtas tarpininkas - administratorius, turintis licenciją teikti investavimo paslaugas, visiems sistemos vartotojams (dalyviams) prieinamas kaip internetiniame / komunikaciniame tinkle esanti interaktyvi terpė arba administracinė institucija, atlieka finansinio atstovavimo funkcijas tarp minėtų kreditoriaus modulio, debitoriaus modulio bei bankų modulio arba tarp atitinkamų šių minėtų modulių vartotojų / dalyvių.SUMMARY OF THE INVENTION The present invention relates to a system comprising the following users of the system: creditors (legal entities and natural persons), debtors (legal entities), banks (legal entities) and an administrator-broker, said intermediary being an administrator licensed to provide investment services accessible to users (participants) as an interactive medium or administrative body on the Internet / Communication Network, performs financial representation functions between the above creditor module, the debtor module and the banking module or between the respective users / participants of these modules.
An essential feature of the present invention is that such a system:
kreditoriaus modulio vartotojai (ne tik juridiniai, bet ypač fiziniai asmenys) gali skolinti savo pinigus debitoriaus modulio vartotojams (juridiniams asmenims), t.y. tokia sistema atlaisvina rinkoje esantį fizinių asmenų, galinčių kredituoti juridinius asmenis, segmentą; labiau yra atstovaujami debitoriaus modulio vartotojai, o ne bankų modulio vartotojų interesai;Lending module users (not only legal entities but especially natural persons) can lend their money to Lending module users (legal entities), i.e. such a system frees up the market segment of natural persons who can lend to legal persons; the interests of the users of the debtor module are more represented than the interests of the users of the banking module;
bankų modulio vartotojų vaidmuo yra ne pagrindinis, bet tik šalutinis, nes šioje sistemoje bankų modulis traktuojamas tik kaip finansinių srautų draudikas, bet ne jų savininkas.the role of the users of the banking module is not primary but only ancillary since in this system the banking module is treated only as an insurer of financial flows and not their owner.

Fig. 1 yra pavaizduota finansinio aprūpinimo sistemos struktūrinė schema, susidedanti iš kreditoriaus modulio (1), tarpininko - administratoriaus modulio (2), bankų modulio (3) ir debitoriaus modulio (4).FIG. 1 is a flow chart of a financial security system consisting of a creditor module (1), an intermediary administrator module (2), a banking module (3), and a debtor module (4).
It has been noted that there are a number of interactive systems on the Internet that are connected to creditors and debtors, where creditors can lend their financial resources to debtors under appropriate conditions. However, there are also some problems with such existing systems. One is that only legal persons participate in such schemes, since under the rules of the market in force, a legal person (company) cannot borrow directly from non-professional clients, ie. from natural persons. Another problem is that such and similar interactive systems represent the interests of creditors rather than debtors. And another problem is that, in most cases, the managers of all these interactive media and the owners of financial (available and potential) streams are banks that charge money not only for insurance of the said financial streams, but also for their 'rent' / lending.
Taip pat pastebėta, kad pakankamai daug laisvų finansinių išteklių yra užšaldyti fizinių asmenų sąskaitose, už kurias bankai (ypač pastaruoju metu) moka labai nedidelius palūkanų procentus, o už einamuosius indėlius (einamąjį sąskaitos likutį) dažnai išvis nemoka. Tačiau šiais minėtais fizinių asmenų finansiniais ištekliais bankai naudojasi ir gauna pajamas, kurių tik santykinai maža dalis tenka indėlio savininkui - fiziniam asmeniui.It has also been observed that a considerable amount of free financial resources is frozen in the accounts of natural persons, for which banks pay very low interest rates (especially lately) and often do not pay any current deposits (current account balances). However, banks use these aforementioned natural persons' financial resources and generate income, of which only a relatively small part belongs to the deposit holder - a natural person.
In principle, a company has certain possibilities to borrow from natural or legal persons, not through a bank, but these methods are quite complicated and require a lot of administrative supervision. Here are three examples of borrowing.
Tam tikrą jo lankstumą galėtų užtikrinti tik obligacijų likvidumo tarpininkas, tačiau tokiu atveju pati sistema taptų dar sudėtingesnė ir brangesnė administravimo prasme.a company may borrow from creditors not through banks but directly through a financial intermediary through the issuance of corporate bonds. However, the procedure for issuing bonds is very complicated and must be issued with a specific issue and with a pre-defined yield. Also, the said bonds have maturity, maturity, cannot be sold or purchased at any time. For these reasons, said bond path is not flexible. Some flexibility could only be provided by the bond liquidity intermediary, but this would make the system itself even more complex and expensive in terms of administration.
Taip pat svarbus ir rinkos galios faktorius: įmonė, kuri valdo didelius finansinius srautus, yra žymiai svaresnė už įmonę, kuri to neturi, o tik prašo pinigų mainais už palūkanas.the company may borrow from the bank, but in this case the company pays the bank not only for the risk of becoming insolvent but also for the financial resources the bank has to attract in order to refinance the company. Another important factor is the power of the market: a company that manages large financial flows is much more important than a company that does not, but simply asks for money in exchange for interest.
Because customer loyalty is very important to the company, because the customer usually chooses the goods or services of the company that are the most loyal, the company can try to increase customer loyalty. One of the commonly used way is discounts. In this case, however, the effect is counterproductive: the company seeks to increase its turnover and profitability but, by offering discounts, it reduces both of these ratios by one product. Often, the positive effect comes from attracting additional customers, i.e. customers no longer buy another item at a discount, but buy this at a discount. However, if both manufacturers apply discounts, the effect is neutralized and both companies remain with reduced turnover and profitability. In both cases, the immediate interest of the customer is not the success of the company, but the lower price for higher quantity or better quality.
Currently, the conventional creditor and debtor system consists of the following modules: the Legal Entities Lending Module, the Legal Entities Lending Module, and the Banking Module. If natural persons are involved in such a corporate credit system, they are usually involved through a bank and are completely cut off from the process and do not know to whom their money is being lent. Not only are they often not involved, they simply are not aware that the frozen financial resources mentioned in their account are involved in any process at all, e.g. performs the credit function.
Siekiant išlaisvinti fizinių asmenų minėtas užšaldytas lėšas, turėti galimybę panaudoti jas debitorių labui, mažiau priklausyti nuo bankų sąlygų, labiau atstovauti debitorių (skolintojų) interesus ir suteikti galimybę pačiam fiziniam asmeniui pasirinkti, kokią konkrečią organizaciją jis norėtų prakredituoti ir kokią naudą iš to norėtų gauti, buvo sukurta nauja finansinio aprūpinimo sistema.In order to release the frozen funds mentioned by natural persons, to be able to use them for the benefit of debtors, to be less dependent on bank conditions, to be more representative of debtors (lenders) and to allow the individual to choose which specific organization he would like to accredit and a new system of financial provision was created.
Fig. 1 yra pateikta šio išradimo finansinio aprūpinimo sistemos struktūrinė schema, susidedanti iš kreditoriaus modulio (1), tarpininko - administratoriaus modulio (2), bankų modulio (3) ir debitoriaus modulio (4). Šią sistemą sudaro tinkle esanti interaktyvi terpė, prie kurios atskirų minėtų modulių tam tikromis sąlygomis gali prisijungti tam tikros registruotų žmonių grupės.FIG. 1 is a block diagram of a financial provision system of the present invention consisting of a creditor module (1), an agent-administrator module (2), a banking module (3), and a debtor module (4). This system consists of a networked interactive medium to which certain groups of registered people may, under certain conditions, join the individual modules mentioned above.
The aforementioned creditor module (1) can be accessed by natural or legal persons wishing to participate in the creditor system, as creditors. In this way, the aforementioned persons who join the creditor module (1) and form the creditor network are creditors. The main advantage of such a module is that it can be joined not only by legal persons but also by natural persons, who are the most desirable in this system. There can be many such creditors. The persons (creditors) who have joined the credit module (1) can see a list of legal persons (companies) wishing to receive a certain amount of money. In the said interactive medium (such as a web portal), the creditor who is logged in may indicate the amount and the company to which he / she grants this amount. Next, using a direct payment bank-link type connection, connecting the creditor as a customer to his bank account, the creditor makes the transfer from his online bank account to the account specified by the intermediary administrator module (2), i.e. into a pool of collected money. Likewise, the creditor may confirm or indicate that his funds transferred to the said monetary fund must subsequently be held with one of the designated (domestic) commercial banks.
The Debtor module (4) is open to legal persons (companies) wishing to obtain a financial loan from a natural or legal person who so requests for the Intermediary-Administrator module (2). In this way, the persons connected to the debtor module (4) forming the debtor network are debtors.
Prie bankų modulio (3) gali jungtis bankų atstovai. Dalyvaujančių bankų gali būti nemažai (vienas, keli, arba daug).The banking module (3) can be joined by bank representatives. There may be a large number of participating banks (one, several, or many).
Under current market regulations, a company cannot borrow money directly from non-professional creditors (natural persons), so the present system includes an administrator-administrator module (2) that is accessed by a legal entity, simply referred to as an intermediary duly authorized (licensed) investment services. The above-mentioned Intermediary Administrator Module (2) combines several information flows: information about debtors and their intention to borrow a certain amount of money and information about creditors who can / will lend a certain amount of money to a particular debtor. In order for creditors to see what the debtors' wishes are, the intermediary must provide this information to the creditor in an appropriate format. Subsequently, the creditor instructs the intermediary to lend a certain amount of money to the selected debtor under the terms chosen and to transfer this amount of money to the said fund belonging to the intermediary-administrator module (2). Similarly, the creditor may, through the said intermediary, oblige the debtor to decide which of his banks is to hold his (creditor's) money. The said fund accumulates the funds of the creditor (creditor network). Debtors connected to the said debtor module (4) have the opportunity, provided by the intermediary, to see what proportion of this money is specifically earmarked for them. Later, the users of the debtor module (4) contact the users of the banking module (3) to discuss the terms of the financial loan and to select the most suitable bank. In order to obtain the most favorable loan terms from the bank, the intermediary may tender because the money being lent, even though it is in a bank account, is not directly owned by the bank. By way of competition or otherwise (for example, by the creditor), the debtor has the right to choose which of the banks will hold the money held in the intermediary administered by the creditors, which is an argument for better financing. Whenever a debtor chooses a bank-lender, joining said debtor module (4) informs the creditor and the intermediary: the relevant contracts are signed between all participants in this scheme. The creditor's funds held in the said money fund are then assigned to the debtor. The creditor has the opportunity to return his funds back to his account at any time, since these said assigned and granted funds are managed by the intermediary administrator module (2) in the said fund and not by the representatives of the banking module (3). In such a financial security system, the bank only acts as an insurer, as it simply lends money entrusted to creditors to the debtor, assuming only the risk of the debtor's insolvency and, through the central bank, providing a guarantee for the funds entrusted to the creditor. Formally, the bank remains a lender and deposit holder, but no longer manages cash flow, since the same amount of money borrowed from the bank will be transferred to the same bank, but only if all participants in the system agree on all the terms of the loan. This way, the creditor does not run any risk of losing his money due to the debtor's insolvency.
In order for the creditor to have an interest in lending money to the debtor, the debtor under the agreement undertakes to pay the creditor certain fees, such as the agreed percentage of the debtor's turnover, at certain intervals. In such a system, the benefit to the debtor is not only that he can obtain a loan on more favorable terms, but also that the creditor becomes a certain shareholder (or shareholder) of the debtor. The only difference from the shareholder is that in this system the creditor claims a share of the debtor's turnover (sales) and becomes loyal to the debtor because he becomes interested in increasing the debtor's turnover and his commercial success. Other forms of such fees may also apply, which would enhance the creditor's loyalty to the debtor.
Taip pat reikia pažymėti, kad:It should also be noted that:
minėtas tarpininko - administratoriaus modulis (3) suteikia galimybę kreditoriaus modulio (1) vartotojams perleisti minėto indėlio laikymo vietos bankų modulyje (3) sprendimą debitoriaus moduliui (4) ir tokiu būdu debitoriaus modulis (4) tampa finansinių resursų perskirstytoju;said intermediary administrator module (3) enabling users of the creditor module (1) to transfer the solution of said deposit holding bank module (3) to the debtor module (4) and thereby the debtor module (4) becomes a financial resource redistributor;
bankų modulio (3) vartotojai netenka galimybės už kreditoriaus modulio (1) vartotojus nuspręsti, kam turi būti paskolinti jų (kreditorių) pinigai;the users of the banking module (3) lose the ability to decide, for the users of the creditor module (1), to whom their (creditors) money must be lent;
debitoriaus modulis (4) iš bankų modulio (3) perka tik perdraudimo paslaugą, o ne finansinių resursų suteikimą (kaip tai yra šiuo metu).the debtor module (4) buys only the reinsurance service from the banking module (3) and not the provision of financial resources (as is currently the case).
The financial media system's interactive media itself is fully automated: all processes occur automatically at set times and stages, including initiation, adjustment, validation, and commissioning of various additional (sub) processes. Likewise, relevant groups of people have access to the system at different levels (i.e., each user is granted certain rights and restrictions) and to different modules to provide the system with multiple levels of functionality.
