本発明は、受益権交換装置、受益権交換方法、及びプログラムに関する。特に本発明は、株式市場に上場されている個別株式と、当該個別株式を含んで構成される投資信託との交換処理を行う受益権交換装置、受益権交換方法、及びプログラムに関する。

株価指数を構成する全銘柄の株式を所定の割合で含むことを条件に、株式市場に上場可能となる上場投資信託が取り引きされている(非特許文献1参照)。従来、新たに上場投資信託を組成する場合に、機関投資家等は、自己資金により必要な株式を株式市場等から調達している(非特許文献2参照)。

しかしながら、上記方法によると、機関投資家等は、上場投資信託の組成に必要な数量の個別株式を株式市場で購入する場合に、株式市場での個別株式の株価にマーケットインパクトを与えるおそれがある。
そこで本発明は、上記の課題を解決することのできる受益権交換装置、受益権交換方法、及びプログラムを提供することを目的とする。この目的は特許請求の範囲における独立項に記載の特徴の組み合わせにより達成される。また従属項は本発明の更なる有利な具体例を規定する。

【課題を解決するための手段】
即ち、本発明の第1の形態によると、株式市場で取引される株式である個別株式を、前記株式市場を通さずに取得すると共に、前記個別株式及び他の株式を予め定められた構成比率で含む投資信託の受益権と交換するための受益権交換装置であって、個別株式取得希望者の端末から入力された前記投資信託を組成するために不足する個別株式を識別する識別情報と、前記投資信託を組成するために不足する当該個別株式の数量の情報を格納する組成条件格納部と、前記組成条件格納部から、前記投資信託を組成するために不足する個別株式の識別情報を、取得を希望する個別株式の株式識別情報として取得すると共に、前記投資信託を組成するために不足する個別株式の数量を、取得を希望する個別株式の取得希望数量として取得してメモリに格納する個別株式情報取得部と、前記メモリに格納された前記株式識別情報で識別される前記個別株式の、前記株式市場における株価の情報を取得して、前記メモリに格納する市場情報取得部と、前記投資信託の受益権の価格である受益権価格を取得して前記メモリに格納する投資信託情報取得部と、前記メモリに格納された前記個別株式の株価及び前記投資信託の受益権価格に基づいて前記株価の前記受益権価格当たりの価格比率又はその逆数を算出することにより、前記投資信託の受益権を取得する権利である受益権取得権利と前記個別株式との交換比率を算出して出力すると共に前記メモリに格納する交換比率出力部と、前記個別株式を前記交換比率に基づいて前記受益権取得権利と交換することに応じる旨を示す個別株式提供希望者からの提供了承通知を取得して前記メモリに格納する提供了承通知取得部と、前記個別株式提供希望者からの提供了承通知が取得された場合に、前記個別株式の株式識別情報及び取得希望数量と前記交換比率を前記メモリから読み出し、前記個別株式提供希望者の証券口座における前記取得希望数量の前記個別株式が前記取得希望数量及び前記交換比率から定まる数量の前記受益権取得権利と交換されるよう前記個別株式取得希望者により管理される前記個別株式提供希望者の前記証券口座における預かり証券の情報を更新させる処理を行うと共に、交換される前記個別株式について前記組成条件格納部に格納された、前記投資信託を組成するために不足する当該個別株式の情報を前記組成条件格納部から削除し、更に前記交換比率に基づいて前記取得希望数量の前記個別株式と交換される前記受益権取得権利の数量を前記個別株式提供希望者に対応付けて前記組成条件格納部に格納する受益権取得権利交換執行部と、前記組成条件格納部から前記投資信託を組成するために不足する全ての前記個別株式の情報が削除されることにより前記投資信託を構成する全ての前記個別株式及び前記他の株式が取得された場合に、前記投資信託を組成する前記個別株式取得希望者の端末に前記投資信託の受益権を発行する旨の通知を送り、前記組成条件格納部に格納された前記受益権取得権利の数量に対応付けられた前記個別株式提供希望者の証券口座における当該数量の前記受益権取得権利と前記個別株式取得希望者により管理される前記個別株式取得希望者の証券口座における当該数量の前記受益権とを振り替えるための処理を行うことにより、前記受益権を前記受益権取得権利と交換する処理を行う受益権交換部とを備えることを特徴とする。

以下、発明の実施の形態を通じて本発明を説明するが、以下の実施形態は特許請求の範囲にかかる発明を限定するものではなく、また実施形態の中で説明されている特徴の組み合わせの全てが発明の解決手段に必須であるとは限らない。

図1は、株式交換システム10の機能ブロック図である。株式交換システム10は、株式市場で取引される個別株式と、この個別株式及び他の株式を予め定められた構成比率で含む投資信託の受益権との交換を、個別株式取得側端末100及び受益権発行装置(受益権交換装置)200間において適切に行わせることを目的とする。株式交換システム10は、証券会社や機関投資家等の個別株式取得希望者により管理される個別株式取得側端末100と、交換比率等を出力することにより交換の仲介を行う受益権発行装置200と、個人投資家等の個別株式提供希望者により管理される個別株式提供側端末300とを備える。受益権発行装置200及び個別株式提供側端末300は、例えば、インターネット等の通信回線で接続されている。

従って、株式交換システム10は、受益権発行装置200により算出された適切な交換比率により、個別株式取得者及び個別株式提供者間で個別株式及び受益権の交換を行わせることができるので、個別株式の株式市場での価格にマーケットインパクトを与えることなく、上場投資信託を組成させるための個別株式を取得することができる。
