PURPOSE:To obtain a reproduced signal of excellent S/N by deviating the cross- modulation component of a quantizing signal out of a band by superposing a noise component of a fixed band upon a quantized signal by a PCM transmitting equipment. CONSTITUTION:An input audio signal is amplified 2 and then sampled and held 4 through LPF3. At this time, its level is momentarily held with a clock from clock generator 5 and then quantized and coded by A/D converter 6 with the clock before being output. In this case, the output of noise generator 8 is superposed upon the output of LPF3 as the component of band 13'' by BPF9'. Further, band 13'' is set to the outside of the upper limit band of output component 11 of LPF3. As a result, a cross-modulation component in quantization is converted into out-band componet 13''' together with component 13'' to provide the reduction of distortion in signal reproduction, so that excellent S/N can be obtained.
